Good governance starts from the top with the board of directors setting the policies and standards. It is seen as the responsibility of all employees to adhere to these standards and uphold Tanager’s culture of trust, integrity, respect and accountability.  Tanager’s executive team ensures performance expectations are aligned with governance commitments, and that expectations are clearly communicated to all staff. Tanager’s  goal is to be at the forefront of corporate governance practices and corporate governance reporting. We benchmark our practices h and evolve our processes based on what is best for our business.

 

TANAGER  believes effective corporate governance begins with a strong board of directors who are educated, empowered and able to act independently.

TANAGER ’s Board of Directors consists of three highly skilled individuals, who bring broad knowledge and expertise including upstream and downstream oil and gas, accounting, finance, transportation, power and utilities and general business and board management.  Two Directors are independent with the exception of the Chief Executive Officer. The Board understands its primary role as stewardship of the company especially in regards to long-term planning and succession planning; and monitors and provides guidance on all areas of TANAGER ’s business and affairs. At each meeting, the Board is updated on emerging opportunities, risks and business activities such as financial, operational, and regulatory issues.

 

Tanager recognizes that the corporate responsibility metrics on which we report – health and safety, environment, our employees, communities and economic impact – must be included in a formulated management approach that is incorporated at all levels of the organization. 

Daily management of corporate responsibility commitments and implementation of programs are led by Tanager managers, who are supported by their staff. However, ultimate decision making regarding these areas takes place at the board and senior management level.

 

TANAGER  has numerous policies in place that provide a clear statement of our values and accepted practices. TANAGER ’s policies are reviewed and updated to meet our evolving business needs.

  • The Business Conduct and Ethics Code, broadly outline basic principles and policies, and must be read and signed by all employees on an annual basis. The Code addresses such issues as equal opportunity, harassment, conflict of interest, confidentiality, compliance, environmental impact, corruption and bribery, among others. It also governs the political activities and contributions of employees and the corporation, stating that TANAGER  does not contribute any funds to political organizations in Canada or abroad.
  • TheDisclosure Policy documents the disclosure policies and practices of TANAGER , extending to all directors, officers and employees. The policy is also intended to assist the Chief Executive Officer and Chief Financial Officer in making certifications with respect to the disclosure control of TANAGER  required under National Instrument 52-109. Additionally, the policy assists any director or officer of TANAGER  in the conduct of the reasonable investigation required to provide a defense to any action against such director or officer based on a misrepresentation or failure to make timely disclosure.
  • TANAGER 's Whistleblower Policy, provides a mechanism by which employees, consultants and external stakeholders can raise concerns regarding violation of the Business Conduct and Ethics Code through their supervisor or in an anonymous process. A Whistlerblower Hotline, where complaints can be lodged, is accessible from the policy document. In  2012 there were no breaches of the Code, including allegations of discrimination, reported through the Whistleblower Hotline.
